PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING THE CIVIL INTELLIGENCE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE OUR SERVICES.

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Civil Intelligence, Inc., governing your access to and use of our website, platform, software, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you confirm that you are at least 18 years of age, have legal capacity to enter into a binding agreement, and agree to comply with these Terms and applicable laws.

2. Description of Services

Civil Intelligence provides an AI-powered real estate development platform that delivers zoning intelligence, property feasibility analysis, climate risk assessments, cost projections, and related insights to support development evaluation.

All outputs are informational only and do not constitute legal, financial, engineering, architectural, or professional advice.

3. Account Registration and Security

3.1 Account Creation. You must provide accurate, current, and complete information and keep your account updated.

3.2 Account Security. You are responsible for credential confidentiality and activity under your account. Notify us immediately at info@civilintelligence.ai if unauthorized use is suspected.

3.3 One Account Per User. Creating multiple accounts to circumvent subscription limits or restrictions is prohibited.

4. Subscriptions, Payment, and Billing

Civil Intelligence offers tiered subscription plans. Features and pricing may vary by plan and may be updated with reasonable notice.

Paid plans authorize recurring charges (monthly or annually) to your designated payment method.
Fees are in U.S. dollars and non-refundable except as required by law or expressly stated.
If payment fails and remains unresolved for 7 days, your account may be downgraded or suspended.
Cancellation takes effect at the end of the current billing period; access continues until then.

5. Acceptable Use Policy

You agree not to:

Use Services for unlawful purposes or in violation of applicable law
Copy, modify, distribute, or exploit Services without written consent
Attempt unauthorized access to systems, servers, or databases
Use bots, scrapers, or automation without prior written authorization
Interfere with platform integrity or performance
Impersonate persons or entities or misrepresent affiliations
Transmit spam or unauthorized promotions
Upload unlawful, defamatory, fraudulent, or infringing content
Reverse engineer, decompile, or disassemble platform technology
Share, sublicense, resell, or transfer your account without written consent

6. Intellectual Property Rights

All platform content, software, and technology are exclusive property of Civil Intelligence and protected by intellectual property laws.

Subject to your compliance and payment of fees, you receive a limited, non-exclusive, non-transferable, revocable license to use Services for internal business purposes.

You retain ownership of content you submit, while granting Civil Intelligence a limited license to process that content solely to provide Services.

7. Platform Data, Outputs, and Accuracy

We integrate third-party datasets (zoning, public records, climate, financial sources). We do not warrant completeness, timeliness, or accuracy of third-party data.

Feasibility scores and related outputs support independent decision-making and are not licensed professional advice.

8. Disclaimers of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CIVIL INTELLIGENCE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES OF ACCURACY, RELIABILITY, OR UNINTERRUPTED AVAILABILITY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIVIL INTELLIGENCE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF SERVICES.

Total cumulative liability is limited to the greater of (a) amounts paid by you in the prior 12 months, or (b) $100 USD.

10. Indemnification

You agree to indemnify and hold harmless Civil Intelligence, Inc. and its officers, directors, employees, agents, affiliates, and licensors from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your use of Services or violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by laws of the State of New York. Legal actions must be brought in state or federal courts located in New York County, New York.

Before formal proceedings, parties agree to attempt informal resolution for at least 30 days by contacting info@civilintelligence.ai.

To the extent permitted by law, class actions and class-wide arbitration are waived.

12. Termination

You may terminate your account at any time. Civil Intelligence may suspend or terminate access for violations, non-payment, fraud, illegal activity, or conduct harmful to platform integrity.

On termination, license rights immediately cease; provisions that should survive termination continue in effect.

13. Modifications to Terms and Services

We may modify these Terms at any time. For material changes, we provide at least 14 days notice by email or prominent platform notice before effectiveness.

14. General Provisions

These Terms and Privacy Policy form the entire agreement.
If a provision is unenforceable, it will be modified minimally and remaining terms remain effective.
Failure to enforce a right is not a waiver.
You may not assign rights without consent; Civil Intelligence may assign in a merger or asset sale.
Civil Intelligence is not liable for delays caused by force majeure events beyond reasonable control.
These Terms create no third-party beneficiary rights.
