Terms of Service

These Terms of Service govern your access to and use of the Civil Intelligence platform and related services. The full terms content will be published here. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING THE CIVIL INTELLIGENCE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE OUR SERVICES.
1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Civil Intelligence, Inc., a company incorporated in the State of New York ("Civil Intelligence," "we," "our," or "us"), governing your access to and use of our website, platform, software, and related services (collectively, the "Services").
By creating an account, accessing, or using our Services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations.
2. Description of Services
Civil Intelligence provides an AI-powered real estate development platform that delivers zoning intelligence, property feasibility analysis, climate risk assessments, cost projections, and related insights to assist real estate developers in evaluating potential development sites and projects (the "Services").
Our Services are intended to serve as analytical and informational tools only. All outputs, reports, scores, and recommendations generated by Civil Intelligence are provided for informational purposes and do not constitute legal, financial, engineering, architectural, or professional development advice. You are solely responsible for any decisions made based on information provided through our Services.
3 Account Registration & Security
3.1 Account Creation
To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at civit@civilintelligence.ai if you suspect any unauthorized use of your account. Civil Intelligence will not be liable for any loss or damage arising from your failure to safeguard your account.
3.3 One Account Per User
Each user may maintain only one active account. Creating multiple accounts to circumvent subscription limits, access restrictions, or platform policies is strictly prohibited and may result in immediate termination of all associated accounts.
4. Subscriptions, Payment, and Billing
4.1 Subscription Plans
Civil Intelligence offers tiered subscription plans as described on our pricing page. Features, usage limits, and pricing may vary by plan. We reserve the right to modify, add, or discontinue subscription tiers at any time with reasonable notice to existing subscribers.
4.2 Billing and Payment
By subscribing to a paid plan, you authorize Civil Intelligence to charge your designated payment method on a recurring basis (monthly or annually, as selected). All fees are in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by applicable law.
4.3 Beta Pricing
Users who subscribe during our beta period at a promotional rate will have that rate locked in for the duration of their continuous active subscription. Civil Intelligence reserves the right to adjust pricing for new subscriptions or upon plan upgrades.
4.4 Failed Payments
If a payment fails, we will attempt to retry the charge. If payment cannot be processed within 7 days, your account may be downgraded or suspended until payment is resolved. You will be notified via the email address on file.
4.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends, after which your account will revert to a free tier (if available) or be deactivated.
4.6 Refunds
All subscription fees are non-refundable. In exceptional circumstances, refund requests may be considered at Civil Intelligence's sole discretion. To request a refund, contact civit@civilintelligence.ai within 7 days of the charge in question
5. Acceptable Use Policy
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
• Use the Services for any purpose that violates any applicable federal, state, local, or international law or regulation, including but not limited to New York State law
• Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of our Services or platform without our prior written consent
• Attempt to gain unauthorized access to any portion of our platform, servers, databases, or systems
• Use automated tools, bots, scrapers, or scripts to extract data from our platform without prior written authorization
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Services to transmit any unsolicited or unauthorized advertising, spam, or promotional materials
• Upload or transmit any content that is unlawful, defamatory, fraudulent, or that infringes on the intellectual property rights of any third party
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of our platform or AI systems
• Share, sublicense, resell, or transfer your account or subscription to any third party without our express written consent
6. Intellectual Property Rights
6.1 Our Intellectual Property
All content, features, functionality, software, technology, and materials on our platform — including but not limited to our patent-pending feasibility engine, AI models, zoning intelligence system, data structures, user interface, logos, and branding — are the exclusive property of Civil Intelligence, Inc. and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Patent-Pending Technology
Civil Intelligence's core platform technology is the subject of pending patent applications. Any unauthorized use, reproduction, or reverse engineering of our proprietary technology is strictly prohibited and may result in legal action.
6.3 Limited License to Users
Subject to your compliance with these Terms and payment of applicable fees, Civil Intelligence grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes. This license does not include any right to sublicense, resell, or redistribute the Services or any data derived therefrom.
6.4 Your Content
You retain ownership of any project data, property information, or content you submit to the platform ("User Content"). By submitting User Content, you grant Civil Intelligence a limited, non-exclusive license to use, process, and analyze such content solely to provide the Services to you. We will not sell or share your User Content with third parties except as described in our Privacy Policy.
7. Platform Data, Outputs, and Accuracy
7.1 Third-Party Data Sources
Our platform integrates data from third-party sources including municipal zoning databases, public records, climate datasets, and financial data providers. While we strive to ensure accuracy, Civil Intelligence does not warrant the completeness, timeliness, or accuracy of any third-party data incorporated into the platform.
7.2 No Professional Advice
All feasibility scores, zoning analyses, climate assessments, cost projections, and other outputs generated by Civil Intelligence are analytical tools intended to support your independent decision-making. They do not constitute and should not be relied upon as legal advice, financial advice, engineering assessments, architectural guidance, or any other form of licensed professional advice. You should consult qualified professionals before making any investment, development, or construction decisions.
7.3 Limitation on Reliance
Civil Intelligence expressly disclaims any liability for losses, damages, or adverse outcomes resulting from your reliance on platform outputs. Real estate development involves substantial risk, and no analytical tool can guarantee the success or viability of any project.
7. Platform Data, Outputs, and Accuracy

8. Disclaimers of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CIVIL INTELLIGENCE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA, ANALYSIS, OR OUTPUT
• WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
Some jurisdictions do not allow the exclusion of implied warranties. If you are located in such a jurisdiction, some of the above exclusions may not apply to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CIVIL INTELLIGENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF CIVIL INTELLIGENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall Civil Intelligence's total cumulative liability to you for any claims arising out of or related to these Terms or the Services exceed the greater of (a) the total amount paid by you to Civil Intelligence in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).
10. Indemnification
You agree to indemnify, defend, and hold harmless Civil Intelligence, Inc. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; or (e) any dispute between you and a third party in connection with the Services.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
11.2 Jurisdiction and Venue
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in New York County, New York. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts.
11.3 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact Civil Intelligence at legal@civilintelligence.com and attempt to resolve the dispute informally for a period of at least 30 days. This informal resolution requirement does not apply to claims for injunctive or other equitable relief.
11.4 Waiver of Class Actions
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST CIVIL INTELLIGENCE. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting us at support@civilintelligence.com or through your account settings. Termination does not entitle you to a refund of any prepaid fees.
12.2 Termination by Civil Intelligence
We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, with or without notice, for any reason including but not limited to: violation of these Terms, fraudulent or illegal activity, non-payment of fees, or conduct that we determine is harmful to other users, third parties, or the integrity of our platform.
12.3 Effect of Termination
Upon termination, your license to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.
13. Modifications to Terms and Services
Civil Intelligence reserves the right to modify these Terms at any time. When we make material changes, we will provide at least 14 days' notice by email or through a prominent notice on our platform before the changes take effect. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms.
We also reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time with reasonable notice to active subscribers.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or policies incorporated by reference, constitute the entire agreement between you and Civil Intelligence with respect to the Services and supersede all prior agreements, understandings, and communications.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
14.3 Waiver
Civil Intelligence's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Civil Intelligence.
14.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Civil Intelligence may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
Civil Intelligence shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, cyberattacks, or other events of force majeure.
14.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Only you and Civil Intelligence are parties to this agreement.
